5.2 Separate Consulting Agreements

Consulting engagements are governed by separate written agreements between Wayde AI and the client.

If a separate written consulting agreement conflicts with these Terms, the consulting agreement will control with respect to that engagement.

Submitting an inquiry, scheduling a conversation, receiving a free resource, or communicating with Wayde AI does not require either party to enter into a consulting engagement.

Wayde AI may decline an inquiry or proposed engagement when the requested work is outside our scope, capacity, qualifications, or responsible AI standards.

5.4 No Guaranteed Outcomes

Wayde AI does not guarantee specific business, financial, operational, regulatory, technical, clinical, organizational, or implementation outcomes.

Results may depend on factors outside Wayde AI’s control, including organizational readiness, leadership decisions, workforce participation, data quality, technology limitations, third-party vendors, available resources, governance practices, and implementation efforts.

6. Intellectual Property

6.1 Ownership

Unless otherwise stated, the Website and its content are owned by or licensed to Wayde AI.

Protected content may include:

9.2 Text Messages

Where you separately and affirmatively consent to receive text messages, Wayde AI may send informational or marketing messages to the mobile number you provide.

Message frequency may vary. Message and data rates may apply. Consent to marketing text messages is not a condition of purchasing Services.

You may reply STOP to opt out or HELP for assistance.

Opting out of marketing text messages does not prevent Wayde AI from sending communications that are legally permitted or necessary to respond to an active request, transaction, or service engagement.

10. Third-Party Websites and Services

The Website may include links to or integrations with third-party websites, scheduling platforms, communication providers, form providers, social-media platforms, or other services.

Wayde AI does not control and is not responsible for:

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Wayde AI LLC and its owners, officers, employees, contractors, representatives, and affiliates from claims, liabilities, losses, damages, judgments, and reasonable expenses arising from:

Your unlawful or unauthorized use of the Website.
Your material violation of these Terms.
Content or information you submit in violation of another person’s rights.
Your infringement of intellectual-property, privacy, confidentiality, or other legal rights.
Fraudulent, malicious, or harmful activity conducted through your use of the Website.

Wayde AI reserves the right to control the defense of a matter subject to indemnification, and you agree to provide reasonable cooperation.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Website shall be brought exclusively in:

The appropriate state court located in Marathon County, Wisconsin; or
Where federal subject-matter jurisdiction exists, the United States District Court for the Western District of Wisconsin.

You consent to the personal jurisdiction and venue of those courts.

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve the dispute through direct written communication, unless immediate legal action is reasonably necessary to protect a party’s rights or prevent harm.

15. Changes to These Terms

Wayde AI may update these Terms periodically to reflect changes to the Website, Services, practices, or applicable requirements.

When changes are made, the revised Terms will be posted on the Website with an updated effective date.

Your continued use of the Website after revised Terms become effective constitutes acceptance of those revised Terms. Changes will not retroactively modify a separate signed consulting agreement unless the parties agree in writing.

16. Suspension and Termination

Wayde AI may restrict, suspend, or terminate access to the Website when we reasonably believe that a user:

Has violated these Terms.
Has used the Website unlawfully or fraudulently.
Has created a security, legal, operational, or reputational risk.
Has interfered with the Website or another person’s use of it.

Termination does not affect provisions that are intended to survive, including intellectual-property rights, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions.

17. General Provisions

17.1 Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Wayde AI regarding your general use of the Website.

A separate signed consulting agreement will govern any formal consulting engagement and will take precedence if it conflicts with these Terms.

17.2 Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be limited or modified to the minimum extent necessary. The remaining provisions will remain in full force and effect.

17.3 No Waiver

Wayde AI’s failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision later.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Wayde AI’s prior written consent.

Wayde AI may assign these Terms as part of a merger, restructuring, sale, transfer of assets, or other lawful business transaction.

17.5 Headings

Section headings are provided for convenience and do not affect the interpretation of these Terms.
